THE TERMS AND CONDITIONS OF USE OF THE ONASIA IMAGES WEBSITE CONSTITUTE A LEGAL AGREEMENT (AGREEMENT) BETWEEN YOU AND ONASIA IMAGES PTE. LTD (ONASIA IMAGES, WE OR OUR).

Ownership
This website is owned and operated by OnAsia Images Co. Ltd. All of the content, meaning text, graphics, photographic images, moving images or sound, is owned either by OnAsia Images, its licensors or the contributing artists/creators who produce and own the copyright to the images (either moving or still) offered for licensing on this website.

Copyright Protection
The entirety of the site, including all its content, meaning text, graphics, photographic images, moving images or sound, featured and displayed on the OnAsia Images website are protected by copyright, trademark, trade dress and other international laws relating to intellectual property. The website and all of the images published on or available through this website are registered with the US library of congress.

Authorized Use of Images Prior to Purchasing a License Agreement
Authorized use of images prior to purchasing a license agreement includes the downloading onto your computers hard drive of low-resolution, watermarked preview (72 Dots Per Inch resolution) images (comp images) for use in comprehensive layouts.

Authorized Use of Images After Purchasing a License Agreement
License agreement(s) are defined by the usage choice(s) you have indicated on our price calculation page or through negotiation and written agreement with one of our representatives. A license agreement (outlining the usage you have selected) will be issued to you along with an invoice for your selected usage.

All images for which the purchase of a license agreement has been agreed may be downloaded from our website and stored on your hard drive, complete with copyright and caption information, for a period of up to 30 days after the licensed use is completed, after which time they must be deleted.

Unauthorized use of Images
Unauthorized use of images is that which is outside the use(s) defined and permitted by the ONASIA IMAGES PTE. LTD LICENSE AGREEMENT (which you will receive with your invoice) and as laid out in TERMS AND CONDITIONS OF USE of this site. You hereby undertake not to use image beyond the terms of the license agreement granted, without prior approval from OnAsia Images. Any such use will be deemed as unauthorized.

The following uses for all images displayed on and available for licensing through this website are prohibited:

         Images used without proper payment as per our invoice and license agreement.

         Images used in an editorial context without a proper credit line as outlined in the License Agreement.

         The use of comp images in any finalized or completed materials that are distributed internally or made available to the public.

         The use of images that have had any copyright, watermark or proprietary information and identifiers removed from the caption or the image itself.

         The use of a part(s) of an image within another image/graphic without express consent from OnAsia Images.

         The use of images in a context that is or could be construed as being pornographic, obscene or defamatory.

         The use of images that violates a depicted individuals right of privacy or publicity.

         The use of images that violates the right of privacy or publicity of the owner of a depicted structure, place or building.

         The use of images that infringes the trade name, trademark or service mark of a commercial entity.

         Archiving, redistribution/transmission, sublicensing, re-licensing, rental or leasing of any of the images available on or through this website beyond the terms of this agreement and/or without prior permission from OnAsia Images.

         Use of images to promote or market the services of any company that either sells or licenses images or competes in any way with OnAsia Images.

All rights granted are personal, non-exclusive and non-transferrable and are subject to the terms laid out in our invoice and license agreement documentation.

Damages for Unauthorized Use
Since it is difficult to determine damages resulting from unauthorized usage, if you do use an image outside the terms of this license agreement we may forego our right to sue you for copyright infringement and you agree in such case to pay as liquidated damages a retroactive license equal to 10 times the normal fee for the authorized use within 14 days or receipt of our invoice. If payment is not received within this period the liquidated damages provision shall be considered void and we will have the right to sue for infringement of copyright and/or breach of contract for which we will seek all damages and remedies available including legal fees and associated expenses.

Cancellation Policy
The client may cancel a license agreement for a high-resolution file within five (5) business days after the invoice date. In this event the client will be invoiced for 50% of the agreed license fee(s). No cancellations will be accepted after five (5) working days have expired after the license has been agreed.

Indemnity
You hereby agree to indemnify OnAsia Images Co. Ltd, its subsidiaries, affiliates, licensors and the authors of any material displayed on this site against any losses, expenses, costs (including reasonable legal fees and expenses) or damages arising from the use of any image (either authorized or unauthorized) licensed (or not) from this site or from any breach of this agreement.

Disclaimers 
Quality of Content and Services

All of the content available on this site is provided for use as is. OnAsia Images makes no representation or warranty, either express or implied, including, but without being limited to, any implied warranties of merchantability, satisfactory quality, compatibility (with either hardware or software) or fitness for a particular purpose.

Furthermore, OnAsia Images makes no representation or warranty that the functioning of its site will be completely without defects, errors or interruptions.

Neither OnAsia Images nor its Directors, employees, licensors, contributors, affiliates or other representatives will be liable for any damages of any kind arising from your use, or inability to use, this site including, but without being limited to, lost profits, direct, indirect, incidental, compensatory, exemplary, special, punitive and consequential damages.

The use of this site is at your own risk and you assume responsibility for any costs or damages that could arise from the use of this site.

Governing Jurisdiction
You accept that the terms and conditions laid out in this agreement shall be interpreted, construed and governed by the laws of the Republic of Singapore, whose courts are recognized as being the courts of exclusive jurisdiction for the purpose of this agreement.

The terms of this agreement shall not, however, be governed by the 1980 United Nations Convention on Contracts for the International Sale of Goods or any other similar convention or laws.

The users of this website also agree that any dispute arising from the use of this website or from any materials derived thereof shall be settled by binding arbitration.

Changes, Waiver, Severability 
OnAsia Images reserves the right to change or amend the Terms and Conditions laid out in this agreement. Similarly no actions by OnAsia Images, except a written waiver or amendment, can be considered as a waiver or amendment of any item contained within this agreement or that of our Privacy Policy. If any clause of this agreement should be found to be unenforceable, wherever possible this will not render ineffective any other clauses or terms contained in this agreement or that of our Privacy Policy.

The above Terms and Conditions set out the entire agreement between yourself and OnAsia Images regarding the use of this website. You hereby warrant that you have the authority to enter into this binding agreement either as an individual or on behalf of a company.
